ORDERBADGER TERMS OF SERVICE
Effective date: 1 March 2026

These Terms of Service ("Terms") govern your use of OrderBadger, including our website at https://orderbadger.com (the "Website"), our WordPress/WooCommerce plugin (the "Plugin"), and our related evaluation and compilation services (the "Service"), provided by Obsidian Black Ltd ("we", "us", "our").

By installing or using the Plugin, accessing the Website, or using the Service, you agree to these Terms. If you do not agree, do not install or use the Plugin or Service.

1. DEFINITIONS
   "Merchant" means any person or entity that installs and uses the Plugin on a WooCommerce store.
   "Order Data" means the WooCommerce order information transmitted to the Service for rule evaluation, as described in our Privacy Policy.
   "Badge Rules" means the plain-English or logic-based rules created by the Merchant within the Plugin.
   "SmartFact" or "SmartFact.ai" means the backend evaluation engine operated by us that compiles and evaluates Badge Rules.

2. THE SERVICE
   OrderBadger allows Merchants to create Badge Rules and automatically apply visual badges to WooCommerce orders based on rule evaluation.

   The Service includes:
   (a) Compilation of Badge Rules into evaluable logic via the SmartFact.ai API
   (b) Evaluation of Order Data against compiled rules
   (c) Local storage of badge definitions and evaluation results within WooCommerce

   Badge names, colours, and metadata are stored locally within your WooCommerce installation and are never transmitted to our servers. Order Data is transmitted to SmartFact.ai solely for evaluation purposes and is not retained (see our Privacy Policy at https://orderbadger.com/privacy/).

3. ACCOUNT AND CONNECTIVITY
   To use the Service, you must connect the Plugin to SmartFact.ai by clicking "Connect Account". This transmits your site domain and WordPress admin email address to provision an API key. No other data is transmitted until you configure and activate Badge Rules.

   You are responsible for:
   (a) Maintaining the security of your WordPress installation and admin accounts
   (b) Ensuring your use of the Plugin complies with applicable law, including data protection law
   (c) Ensuring you have a lawful basis to process your customers' order data via the Service

4. FREE TIER AND SUBSCRIPTIONS
   The Plugin includes a free tier that allows up to 3 active Badge Rules.

   Paid subscriptions remove the rule limit and may include additional features. Subscription pricing is as displayed on the Website at the time of purchase.

   Subscriptions are billed in advance for the period selected. You may cancel at any time; cancellation takes effect at the end of the current billing period. No refunds are provided for partial billing periods.

   We reserve the right to change pricing at any time. Price changes will not affect active subscription periods already paid for.

5. ACCEPTABLE USE
   You agree not to:
   (a) Use the Service for any unlawful purpose or in violation of any applicable law
   (b) Attempt to reverse-engineer, decompile, or extract source code from the Service (excluding the Plugin itself, which is open-source under GPLv3)
   (c) Interfere with, disrupt, or place unreasonable load on the Service infrastructure
   (d) Use the Service to process data you are not authorised to process
   (e) Resell, sublicense, or redistribute access to the Service except as permitted by the Plugin licence
   (f) Circumvent any usage limits, rate limits, or security measures

6. INTELLECTUAL PROPERTY
   The Plugin is licensed under the GNU General Public License v3.0 or later (GPLv3). You may use, modify, and redistribute the Plugin in accordance with that licence.

   The Service (including the SmartFact.ai API, evaluation engine, and compilation infrastructure) is proprietary to Obsidian Black Ltd. Nothing in these Terms grants you any rights to the Service beyond the right to use it via the Plugin as described herein.

   Badge definitions, rule descriptions, and other content you create remain yours. We claim no ownership over Merchant-created content.

7. DATA AND PRIVACY
   Our collection and processing of personal data is governed by our Privacy Policy at https://orderbadger.com/privacy/.

   In summary:
   (a) Order Data is transmitted to SmartFact.ai for evaluation and is not retained on our servers
   (b) Your site domain and admin email are stored to provision and manage your API key
   (c) Badge names, colours, and metadata are stored locally in WooCommerce only
   (d) No data is transmitted until you explicitly connect and activate rules

   As a Merchant, you are the data controller for your customers' personal data. We act as a data processor only to the extent described in our Privacy Policy. If you require a formal Data Processing Agreement (DPA), contact [email protected].

8. AVAILABILITY AND SUPPORT
   We aim to provide a reliable Service but do not guarantee uninterrupted or error-free availability. The Service is provided on an "as available" basis.

   We may perform maintenance, updates, or modifications to the Service at any time. We will use reasonable efforts to provide advance notice of planned downtime where practicable.

   Support is provided via the channels described on the Website. We do not guarantee response times unless specified in a separate support agreement.

9. LIMITATION OF LIABILITY
   To the maximum extent permitted by law:

   (a) The Service is provided "as is" and "as available" without warranties of any kind, whether express or implied, including but not limited to implied warranties of merchantability, fitness for a particular purpose, and non-infringement.
   (b) We do not warrant that the Service will be uninterrupted, error-free, or that any results or evaluations will be accurate or complete.
   (c) In no event shall Obsidian Black Ltd be liable for any indirect, incidental, special, consequential, or punitive damages, including but not limited to loss of profits, data, revenue, or business, arising from or related to your use of the Service.
   (d) Our total aggregate liability for any claims arising from or related to these Terms or the Service shall not exceed the amount you have paid us in the 12 months preceding the claim, or £100, whichever is greater.

   Nothing in these Terms excludes or limits liability for death or personal injury caused by negligence, fraud or fraudulent misrepresentation, or any other liability that cannot be excluded or limited by law.

10. INDEMNIFICATION
    You agree to indemnify and hold harmless Obsidian Black Ltd, its officers, directors, and employees from any claims, damages, losses, or expenses (including reasonable legal fees) arising from:
    (a) Your use of the Service
    (b) Your breach of these Terms
    (c) Your violation of any applicable law or third-party rights
    (d) Any data you process through the Service

11. TERMINATION
    You may stop using the Service at any time by deactivating and uninstalling the Plugin.

    We may suspend or terminate your access to the Service if:
    (a) You breach these Terms
    (b) Your use of the Service poses a security risk or may cause harm to others
    (c) We are required to do so by law
    (d) We discontinue the Service (with reasonable notice where practicable)

    On termination, your API key will be revoked and you will no longer be able to compile or evaluate rules. Badge data already stored locally in WooCommerce will not be affected.

12. CHANGES TO THESE TERMS
    We may update these Terms from time to time. We will post the updated version on this page and update the "Effective date" above. Material changes may also be communicated via email or within the Plugin.

    Continued use of the Service after changes take effect constitutes acceptance of the updated Terms.

13. GOVERNING LAW AND JURISDICTION
    These Terms are governed by and construed in accordance with the laws of England and Wales. Any disputes arising from or in connection with these Terms shall be subject to the exclusive jurisdiction of the courts of England and Wales.

14. SEVERABILITY
    If any provision of these Terms is found to be unenforceable or invalid, that provision shall be limited or eliminated to the minimum extent necessary, and the remaining provisions shall remain in full force and effect.

15. ENTIRE AGREEMENT
    These Terms, together with our Privacy Policy, constitute the entire agreement between you and Obsidian Black Ltd regarding the Service and supersede any prior agreements or understandings.
